Announcement to Invite Businessmen for Investment
经西安市人民政府同意、西安市人民政府国有资产监督管理委员会批准，西安市基础设施建设投资总公司（下称“基投公司”）拟对西安市自来水总公司（下称“自来水公司”）进行改制招商，以公开、公平和公正的原则选择境内外投资人，选中的投资人和基投公司合作共同发展西安市自来水事业。西安产权交易中心受基投公司的委托，现将有关事宜公告如下：
After accepted by Xi'an People's Government and ratified by the National Asset Supervision & Management Commission of Xi'an People's Government, Xi'an Infrastructure Construction Investment Parent Company (hereinafter referred to as “Infrastructure Investment Company”) plans to reform system and attract investment for Xi'an Tap Water Parent Company (hereinafter referred to as “Water Company”), selects domestic & overseas investor in the principle of publicity, fair and just, the selected investor and Infrastructure Investment Company make cooperation to develop Xi'an tap water project together. Xi'an Property Right Transaction Center is trusted by Infrastructure Investment Company, now, the announcement concerning the matters is as follows:
I.自来水公司概况
I.General Situation of Water Company
西安市自来水总公司成立于1952年，位于西安市环城西路南段甲字8号，是国有独资大型供水企业，出资人为基投公司，注册资本4.118亿元，主营业务为城市自来水制造、供应及自来水工程设计、施工。自来水公司现有水厂七座，其中地表水厂两座，地下水厂五座，日制水能力164万立方米，供水管道1377公里，管网水质综合合格率99.8%，管网平均压力0.3兆帕，为西安市市区约360万人口及工业、商业和行政事业等各类用户提供供水服务。2006年自来水公司总售水量2.5亿立方米，销售收入5亿元人民币，利润总额1585万元人民币。
Xi'an Tap Water Parent Company came into existence in 1952. It is situated in No 8-A, South Section of West No 1 Ring Road. It is a government-owned individual proprietorship large size water enterprise. The promoter is Infrastructure Investment Company, its registered capital RMB 411.8 million, its main business is urban tap water production, supply and water engineering design & construction. The water company has 7 water plants at present, 2 of them are surface water plants, 5 of them are groundwater plants, daily water production capacity is 1.64 million m3, water supply line 1377Km, the integration qualification rate of pipe network water quality is 99.8%, average pressure of pipe network is 0.3mpa. It can carry out water service for various users including 3.60 million population and industry, commerce & administration institutions, etc. In 2006, the total sales water amount of the water company is 250 million m3, the sales revenue is RMB 500 million and the gross profit RMB 15.85 million.
II.招商内容和运作方式
II.Content to Invite Businessmen for Investment and Operation Mode
本次招商以产权转让加增资的方式运作，并同时实施特许经营。即以自来水公司经评估的净资产价值加上已经政府批准的供水扩建改造项目的投资资金缺口为基数，向选中的投资人出让部分产权。按照法定程序经国家有关部门完成审批后，基投公司和投资人共同组建合资公司（具体股权设置比例为基投公司股权占51%，投资人股权占49%）。政府有关部门向合资公司授予特许经营权，合资公司在特许经营期内按照《特许经营协议》和适用法律的规定开展经营活动，发展西安供水事业。
The attracting investment work adopts the operation mode of assignment of property and capital increase. Meantime, implement franchising. Namely, based on the radices of net assets value of water company via evaluation and the investment fund gap of water supply extension renovation project after government permission, partial property right will b transferred to the successful investor. According to the legal proceedings and after examination and approval of the nation department concerned, Infrastructure Investment Company and investor set up a joint venture corporation together (concretion stock ownership setup proportion is as follows: Infrastructure Investment Company accounts for 51% of stock ownership while the investor stock ownership is 49%). Government department concerned authorizes the franchise rights to the joint venture corporation. During the franchising period of joint venture corporation, carry out the operative activity and develop the water supply project in Xi'an according to the "franchising agreement" and provision of applicable law.
